WHAT WILL YOU DO?
As Legal Account Manager (LAM) Capital Markets Services you handle compliance, legal, fiscal and administrative services for Special Purpose Vehicles ('SPV's') which are involved in capital markets and structured finance transactions such as cross-border-, lease-, repackaging-, securitisation and others. The LAM will be responsible for legal matters of our fast- growing portfolio of client companies. You will work together with the Managing Director, other (Senior) Legal Account Managers, Company Secretary and Financial Account Managers in order to continuously exceed our clients’ expectations. You continuously develop both personally as well as professionally and deliver added value to the Capital Markets discipline within Trustmoore and contribute to the further growth of our office.
Main responsibilities are:
- Manage the day-to-day activities of a portfolio of so called “Special Purpose Vehicles” (SPVs);
- Maintaining and develop contact with inter alia Investment Managers, Trustees, Collateral Administrator’s and (fintech) banks in order to achieve objectives in meeting deadlines and serving the client’s needs;
- Keeping a client portfolio of companies and SPV’s in good legal standing in accordance with Irish law;
- Ensure that all legal procedures remain in line with applicable transaction documentation, law and overall objectives of the client structure;
- Coordinate and assist with the incorporation, maintenance and/ or dissolutions, capitalization, registrations (e.g. tax, consumer credit and data protection), bank account openings and know your client requirements of SPV’s;
- LIasing with external parties and authorities, banks, notaries and legal advisors regarding the client portfolio of SPV’s;
- Arranging for SPV’s to be liquidated and liaising with relevant parties as independent auditor and liquidator where appropriate;
- Preparing and filing annual returns together with our company secretarial team;
- Preparing and organising board and shareholders meetings together with our company secretarial team;
- Draft and maintain (shareholder) registers and arrange for share transfers (with assistance of Irish counsel and the company secretarial team);
- Setting up and maintaining digital client files/dossiers;
- Build up business network and communicate in a natural way with all relevant parties;
- Attend business and networking events in Ireland and occasionally abroad;
- Ensure obligations under Companies Act 2014 and to CRO are documented and met;
- In time, act as a Director for SPV’s.
HOW DO YOU FIT IN THE TEAM?
As a LAM CM, you need to manage ad-hoc activities next to your daily work. In this position, you need to prioritise what is important, have a hands-on and independent work mentality and be able to deal with stress. A helicopter view is required, you are proactive, know what you are capable of, possess good communication skills and not afraid of asking questions.
Other relevant qualifications for this profile:
- An university degree in Law (e.g. corporate/ civil/ fiscal law) comparable level achieved though exposure and experience;
- A minimum of 5 years relevant work experience at corporate service provider and/or law firm;
- Entrepreneurial business focus and problem-solving attitude;
- Fluent in English (both orally and in writing);
- Excellent understanding of Local Law;
- Exposure to aviation financing transactions is a pré;
- Company secretarial and/or know your client experience is a pré;
- Interest in the international financial/capital markets and financial instruments;
- Self-motivated and able to work independently while also being a strong team player;
- Must be able to work on multiple issues, change priorities and organize workload;
- Is quality focused, business-minded with ability to deliver excellent service to our clients;
- A professional and hands-on work mentality;
- Strong interpersonal and presentation skills.
