WHAT WILL YOU DO?
The Company Secretary - Structured Finance & Capital Markets is part of the local team and handles governance and company secretarial services for Special Purpose Vehicles ('SPV's') which are involved in structured finance and capital markets transactions such as (but not limited to) cross-border-, lease-, repackaging- and securitisation transactions. In this position, you will be responsible for company secretarial matters of our fast- growing portfolio of client companies. You will work together with the Managing Director, Legal Account Manager(s) and Financial Account Manager(s) in order to continuously exceed our clients’ expectations and contribute to the further growth of this business line.
Main responsibilities are:
- Manage the day-to-day company secretarial activities of a portfolio of SPVs;
- Maintaining and developing contact with inter alia Investment Managers, Trustees, Collateral Administrator’s and (fintech) banks in order to achieve objectives in meeting deadlines and serving the client’s needs; Iiasing with external parties and authorities, banks, notaries and advisors regarding company secretarial undertakings for a client portfolio of SPV’s;
- Keeping a client portfolio of SPV’s in good legal standing in accordance with Irish law from a company secretarial perspective;
- Ensure that all legal procedures remain in line with applicable law and overall objectives;
- Coordinate and assist with the incorporation, maintenance and/ or dissolutions, capitalization, registrations (e.g., tax, consumer credit and data protection), bank account openings and know your client requirements of SPV’s;
- Preparing and filing annual returns together with the Legal Account Managers in a timely manner;
- Draft and maintain (shareholder) registers and arrange for share transfers (with assistance of Irish counsel where necessary);
- setting up and maintaining digital client files/dossiers within company secretarial software;
- Prepare and organize board and shareholders meetings, including taking minutes;
HOW DO YOU FIT IN THE TEAM?
As Company Secretary you are organized and are required to take initiative to support the local team in delivering added value to the Structured Finance and Capital Markets discipline within Trustmoore. In this position, you need to prioritize what is important, have a hands-on and independent work mentality and be able to deal with stress. You are proactive, know what you are capable of and possess good communication skills.
Other relevant qualifications for this profile:
- Degree in in Law, Business or a relevant level achieved though exposure and experience;
- Holder of ICSA certification or willingness to obtain a relevant qualification will be a pre;
- At least 3-5 years’ experience in a similar position preferably within a multinational company like international accountancy or Law-Firms, corporate services provider and/or a Financial Institution;
- Interest and/or background in compliance and AML/CTF legislation is an advantage;
- Excellent verbal and written communication skills in English;
- Excellent minute taking;
- Excellent understanding of Local Law (inter alia Companies Act 2014);
- Self-motivated and able to work independently and as part of a team;
- Personal credibility, integrity, and high moral standards;
- Meticulous and results driven; and
- Residing in Ireland.
